- Only open-market purchases and sales of common stock count here. Stock grants, option exercises, gifts and shares withheld or sold to pay taxes on vesting awards are not decisions to buy or sell, so they are left out.
- A planned sale was made under a Rule 10b5-1 trading plan, which the insider set up months in advance. Many executives sell this way on a schedule, so a planned sale says less than one made on the day.
- Values are shares times the price reported. When a filing amends an earlier one, the amended trades replace the originals. Related owners (a fund and its manager) who report the same trade separately are shown once.
